Terms of Service

1. The Service

POSavoir, Inc. ("POSavoir," "we," "us") provides cloud-based point-of-sale software, optional certified hardware, and integrated AI features ("Service") to businesses ("you," "Customer") under the subscription plan you select.

2. Account & eligibility

You must be at least 18 years old and authorized to bind your business to enter into these Terms. You are responsible for keeping your account credentials confidential and for all activity under your account.

3. Subscription, billing & cancellation

• The Service is billed monthly per location at the rate shown on our pricing page at the time of sign-up.
• You may cancel at any time, effective at the end of your current billing month. Fees already paid are non-refundable except where required by law.
• Optional add-on services not included in your plan are billed separately at the rate disclosed at the time of purchase.
• Taxes, government fees, and third-party hardware costs are your responsibility.

4. Acceptable use

You agree not to: (a) use the Service to violate any law; (b) attempt to reverse-engineer, scrape, or interfere with the Service; (c) resell or sublicense the Service without our written consent; (d) input data you do not have the right to process.

5. Customer data

You retain all rights to data you submit to the Service. You grant POSavoir a limited license to host, process, and display that data solely to provide and improve the Service, subject to our Privacy Policy and Data Processing Addendum.

6. AI features

The Service includes AI-generated content (analytics summaries, recipe suggestions, anomaly explanations). AI output may contain errors and should be reviewed before being relied upon for financial, regulatory, or operational decisions. You are responsible for the accuracy of menus, prices, allergen information, and tax rates configured in the Service.

7. Service levels

We target 99.9% monthly uptime for the core POS. Planned maintenance is excluded. Service credits, if applicable, are described in your order form.

8. Intellectual property

POSavoir and its licensors own all rights in the Service, including software, trademarks, and documentation. We grant you a non-exclusive, non-transferable right to use the Service during your subscription.

9. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSAVOIR'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

11. Indemnification

Each party will defend the other against third-party claims arising from its breach of these Terms, subject to prompt notice and reasonable cooperation.

12. Termination

Either party may terminate for material breach not cured within 30 days of written notice. Upon termination, your right to use the Service ends and we will make your data available for export for 30 days.

13. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. Disputes will be resolved in the state or federal courts located in Wilmington, Delaware.

14. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 30 days before they take effect.
